Private Sessions

Private Sessions Terms and Conditions

These terms govern every private one-to-one session held on XFLOOS University. Please read them carefully: they cover the recording of sessions, limit our liability, and affect your legal rights.

1. Definitions

  • "XFLOOS", "we", "us" means XFLOOS University, the operator of the university at www.xfloos.com.
  • "University" means the XFLOOS website, its session rooms and related services.
  • "Session" means a private live audio or video meeting held in a session room on the University, including any consultation, follow-up or mentoring meeting.
  • "Mentor" means the person who provides the Session, including any third-party mentor listed on the University.
  • "Student" means the person who attends a Session with a Mentor.
  • "You" means any Student or Mentor who uses a session room.
  • "Session Records" means the audio recording, written transcript, summary (brief), chat messages, flags and connection-quality data described in these terms.

2. Acceptance of these terms

By ticking the agreement box on the session entry screen and joining a Session, or by otherwise using a session room, you confirm that you have read, understood and accepted these terms. If you do not agree, do not join the Session.

These terms apply in addition to our Terms of Use, Privacy Policy and Refund Policy. If they conflict on a matter relating to Sessions, these terms prevail for that matter.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to take part in a Session.

Sessions are not currently offered to people located in the European Economic Area, the United Kingdom or Switzerland. By joining a Session you confirm that you are not located in those places when you do so.

You must join using your own account and the email address registered for the Session or used to open your invitation link. You may not share your session link, or allow anyone else to attend in your place, without our written approval.

4. Nature of Sessions: no financial, investment, legal or tax advice

Sessions are provided for educational and general consulting purposes only. Nothing said, shown, written or summarized in or after a Session is:

  • a recommendation or solicitation to buy, sell or hold any security, currency, digital asset or other investment;
  • personalized financial, investment, legal, accounting, tax, medical or other regulated professional advice;
  • a promise, guarantee or forecast of any profit, return, business result or outcome.

Neither XFLOOS nor any Mentor acts as your broker, portfolio manager, fiduciary or agent. Past results, examples and case studies do not indicate future results.

5. Your decisions and risk

You are solely responsible for your own financial, investment, marketing and business decisions and for their consequences, whether or not they relate to a Session. Trading, investing and advertising involve risk, including the possible loss of all the money you commit.

You should obtain independent advice from a licensed professional before acting on anything discussed in a Session.

6. Mentors

Mentors are independent professionals and are not employees, partners or agents of XFLOOS. Each Mentor is solely responsible for what they say and for the content and quality of their Sessions. Their opinions are their own and do not represent XFLOOS.

We do not verify every statement made by a Mentor and we do not guarantee that any information given in a Session is accurate, complete or suitable for you.

Mentors must comply with these terms and with all laws and licensing requirements that apply to their services, and are responsible for their own taxes.

7. Booking and scheduling

A session room opens ten minutes before the scheduled start time. You are responsible for joining on time and for checking the scheduled time in your own time zone.

A Session is not cut off automatically when the booked time ends: it continues until the Mentor ends it. Time beyond the booked duration is at the Mentor's discretion and does not create any entitlement to further time. A room may close once nobody has been present for a period after the booked time, and in any event twelve hours after it.

To change the time of a Session before it starts, send a request from the Session page and choose another available time. The other participant may accept or decline it, and the current time stays in force until the request is accepted. We or a Mentor may cancel a Session if the Mentor is unavailable, in which case you may book another time or the fee is handled under the Refund Policy.

Each Mentor sets a deadline, shown when you book and on the Session page, after which a Student can no longer change or cancel a booked Session through the University. A Session cancelled before that deadline returns the booking to your account so you can choose another time; it is not itself a refund. After the deadline, contact WhatsApp support; we do not promise that a change will be possible.

Where a Mentor has no fixed hours, you send the days and hours that suit you and the Mentor sets the time. Messages you exchange about this stay on the University: contact details are hidden from the other person and may be reviewed by us.

A Mentor may also create a Session and send you an invitation link. The first account that signs in through that link becomes the Student for that Session.

Once a Session has started, you may return through the same link if your connection drops. A Session ends when the Mentor ends it, when both participants have left, or when one participant has been absent for about 20 minutes. Its recording then stops and the summary is prepared.

We send reminders by email and through the app to the addresses on your accounts. You remain responsible for attending on time even if a reminder does not reach you.

8. Fees, payment and refunds

Session fees are shown before you pay and must be paid through the University. Card and wallet payments are processed by our payment provider, Kashier; we do not see or store your card details.

Refunds are governed by the Refund Policy and by any terms shown at the time of purchase. Nothing in these terms limits a refund right that cannot be excluded under the law that applies to you.

9. How the call works

Where possible, the video and sound of a Session travel directly between your device and the other participant's device, encrypted in transit. As a result, the other participant's device may be able to see your IP address, which is a normal part of this technology.

If a direct connection is not possible, video and sound are passed through a relay service operated by Cloudflare.

The University asks for access to your camera and microphone when you open a session room. You can mute your microphone or turn off your camera at any time, and you can withdraw these permissions in your browser. Audio recording stops capturing your voice while your microphone is muted.

10. Recording of Sessions

Sessions are recorded. By joining a Session you expressly consent to the recording, transcription, analysis, storage and use described in these terms, and you confirm that you have the right to give that consent.

We record:

  • the audio of the Session, including the voices of both participants, captured by each participant's browser and uploaded to our servers during the Session;
  • all chat messages written in the Session;
  • connection-quality data, such as connection type, delay, packet loss and frame rate.

We do not record the video picture or the content of screen sharing.

11. Why we use Session Records

  • to produce a written summary with key points and next steps, available in the accounts of the Student and the Mentor;
  • to produce a full written transcript, available to the Mentor and to our administrators;
  • to maintain and improve the quality of our service and resolve technical problems;
  • to investigate complaints, disputes, refund requests and suspected breaches of these terms;
  • to detect and prevent fraud, abuse and dealings outside the University;
  • to comply with the law, to establish, exercise or defend legal claims, and to respond to lawful requests from authorities.

12. Artificial intelligence and automated review

Audio and chat messages are processed by artificial intelligence services operated by third parties (currently Google) to produce the transcript, the summary and flags.

Depending on the service tier in use, the provider may retain submitted content and use it to provide, improve and develop its products, and its human reviewers may read that content. For this reason you must not share the sensitive information described in the "Confidential and sensitive information" section below.

Transcripts and summaries are generated automatically and may contain errors, omissions or wrongly attributed statements. They are provided for convenience only, are not a verbatim legal record, and are not advice. You should not rely on them without checking.

Session Records are automatically screened for phone numbers, email addresses, messaging accounts, requests to deal outside the University, fraud, threats, harassment and promises of guaranteed profit. Flagged excerpts are sent to our administrators through notification services (currently Telegram) and may be reviewed by staff. A flag is a prompt for human review and does not by itself determine that a breach occurred.

13. Access, retention and deletion

The summary and the chat messages are available to both participants. The full transcript, and private notes that help the Mentor continue with you (your goals, challenges and what helped you), are available to the Mentor and to our administrators. Flags are available to our administrators only. Our administrators may access any Session Records for the purposes described above.

Audio files are normally deleted about 30 days after the Session has been processed, unless we need them longer to handle a complaint, a dispute, a legal obligation or a legal claim. Transcripts, summaries, chat messages and related data are kept for as long as the relevant account exists and as needed for those purposes.

You may ask for access to, correction of or deletion of your personal data through WhatsApp support. We may refuse or limit a request where the law permits, including where the data also concerns the other participant or is needed for a dispute or legal claim.

Session Records may be processed in countries other than your own. Our service providers include Oracle (hosting), Google (authentication, data storage and artificial intelligence), Cloudflare (call relay) and Telegram (administrator alerts).

14. Confidential and sensitive information

Do not share in a Session, by voice, chat or screen sharing: passwords, one-time codes, full card or bank account numbers, national identity or passport numbers, health information, information about children, or other sensitive or confidential information. This includes trade secrets and information you are not authorized to disclose.

You are responsible for anything you choose to disclose. Before sharing your screen, close anything you do not want the other participant to see.

We do not guarantee that the other participant will keep what you say confidential. Unless you have a separate written agreement with them, a Session does not create a duty of professional confidentiality.

15. Other people and third-party information

You must attend from a suitable private place. You are responsible for making sure that no one else can be heard or seen in a Session without their knowledge. You must have the right to share any personal data or third-party materials that you disclose or show, and you are responsible for any claim that results if you do not.

16. Code of conduct

In every Session and in all related communication, you must behave respectfully and lawfully. You must not:

  • use profane, obscene, insulting, threatening or hateful language;
  • harass, intimidate, blackmail or sexually solicit anyone;
  • discriminate against anyone because of religion, sex, origin, nationality, disability or any other personal characteristic;
  • show or share sexual, violent, illegal, misleading or otherwise inappropriate content, including through screen sharing;
  • impersonate anyone or misrepresent your identity, qualifications or results;
  • promote pyramid schemes, fraudulent investments, or any unlawful product or service;
  • guarantee profits or returns, or pressure anyone into a financial decision;
  • interfere with the University, its security, or its recording and screening features, or try to disable or evade them.

17. Dealing only through the University

All Sessions, services and payments arranged through the University must remain on the University. During a Session and for 12 months after it, you must not, directly or indirectly:

  • exchange or ask for phone numbers, email addresses or messaging or social-media accounts in order to continue dealing outside the University;
  • offer, request, make or accept payment outside the University for services connected with a person you met through the University;
  • encourage anyone to leave the University in order to avoid its fees or its rules.

XFLOOS has no responsibility for anything agreed, paid or done outside the University. You do so entirely at your own risk.

18. No recording or publication by participants

You must not record, photograph, screenshot, stream or capture a Session by any means, or publish, share or sell any part of it, its summary or its transcript, without the prior written consent of the other participant and of XFLOOS. The recording made by the University does not entitle you to make your own. A Mentor may use a transcript or summary only to serve the Student concerned, must protect it, and must not publish it or use it to identify the Student publicly.

19. Intellectual property

Materials shown or provided by a Mentor or by XFLOOS remain the property of their owners. You receive a personal, non-transferable, non-commercial right to use them for your own learning. You keep ownership of materials you bring to a Session, and you give XFLOOS the licence needed to process them as described in these terms. All rights in the University, its software, brand and content belong to XFLOOS or its licensors.

20. Enforcement and our right to act

If we reasonably believe that you have breached these terms, or that your conduct creates risk for anyone or for XFLOOS, we may at our discretion and to the extent the law permits:

  • end or cancel a Session, warn you, or restrict or suspend your access;
  • permanently close your account;
  • remove a Mentor from the University and withhold amounts connected with the breach;
  • refuse a refund to the participant who committed the breach;
  • keep and review the relevant Session Records, and use them as evidence;
  • disclose them to the other participant where needed to resolve a dispute, to our advisers, or to competent authorities.

Our failure to review or act on any Session does not mean that we approve of it. We are not obliged to monitor Sessions in real time.

21. Reporting a problem

If you experience inappropriate conduct or suspect fraud, end or leave the Session and tell us through WhatsApp support as soon as possible, including the date of the Session and what happened. In an emergency, or if you believe a crime has been committed, contact the competent authorities directly. We do not provide emergency services.

22. Technical availability

The University and session rooms are provided on an "as is" and "as available" basis. Call quality depends on your device, browser and internet connection and on those of the other participant. We do not guarantee that a Session will be uninterrupted, secure or error free, or that a recording, transcript or summary will be made, complete or preserved.

You are responsible for your own device, internet connection and browser permissions. If a Session cannot reasonably take place because of a fault on the University, your remedy is to have it rescheduled or, where rescheduling is not possible, handled under the Refund Policy.

23. Disclaimer of warranties

To the fullest extent permitted by law, XFLOOS disclaims all warranties and conditions, whether express, implied or statutory, including those of merchantability, fitness for a particular purpose, accuracy, results and non-infringement. Nothing obtained from a Session, a Mentor or the University creates any warranty that is not expressly stated in these terms.

24. Limitation of liability

To the fullest extent permitted by law:

  • XFLOOS is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, investments, trading or advertising funds, business, opportunity, data or goodwill;
  • XFLOOS is not liable for any act, omission, statement or advice of a Mentor, a Student or any other third party, or for any decision you make based on a Session or on a transcript or summary;
  • XFLOOS's total liability for all claims relating to a Session is limited to the amount you paid to XFLOOS for that Session.

Nothing in these terms excludes or limits liability for fraud, intentional wrongdoing or gross negligence, or any other liability or consumer right that cannot be excluded or limited under the law that applies to you.

25. Indemnity

To the extent the law permits, you agree to compensate and hold harmless XFLOOS and its owners, staff and partners against claims, losses, damages and reasonable costs, including legal fees, brought by third parties or arising from your breach of these terms, your conduct in a Session, content you share, your dealings outside the University, or your violation of any law or third-party right.

26. Events beyond our control

We are not responsible for any delay or failure caused by events beyond our reasonable control, including internet or power outages, failures of third-party services, cyberattacks, government action, natural disasters, war, or civil disturbance.

27. Disputes between participants

Any dispute between a Student and a Mentor is primarily between them. We may, but are not obliged to, help resolve it, and we may review Session Records to do so. Our decision about the University, including any refund or account action, does not prevent either party from using any legal right it has.

28. Governing law and disputes

Before starting any legal claim, you agree to contact us through WhatsApp support and give us 30 days to try to resolve the matter in good faith, unless urgent relief is needed.

These terms are governed by the laws of the Arab Republic of Egypt, and the competent courts in Cairo have jurisdiction, except where the mandatory law of your place of residence gives you the right to a different law or court.

29. Changes to these terms

We may update these terms from time to time, and the date below shows the latest version. The version in force when you join a Session applies to that Session. Continuing to join Sessions after a change means you accept the updated terms.

30. General

  • Severability: if any part of these terms is found invalid or unenforceable, the remaining parts continue in full effect.
  • No waiver: a failure to enforce a right is not a waiver of that right.
  • Assignment: you may not transfer your rights under these terms. We may transfer ours as part of a reorganization or sale of the business.
  • Entire agreement: these terms and the documents they refer to are the whole agreement between you and XFLOOS about Sessions.
  • Survival: provisions that by their nature should continue after a Session or account ends, including those on recording, retention, dealing through the University, liability and disputes, continue to apply.
  • Language: these terms are written in English. If a translation is provided, the English version prevails to the extent the law permits.
